OFFICIAL RULES

1. HOW TO ENTER:Valley View Center’s “Enter for a Chance to Win a $100 Gift Card” Sweepstakes (“Sweepstakes”) begins on Saturday, September 1, 2007 at 12:01 a.m. (Central Time) and ends on Sunday, August 31, 2008, at 11:59 p.m. (Central Time) ("Sweepstakes Period"). You can only submit your entry form for the Sweepstakes via the Internet at the www.shopvalleyviewcenter.com web site (the “Web Site”). Any other attempt at entry is void. Official Entry Forms are available on the Web Site during the Sweepstakes Period. Complete the Sweepstakes Official Entry Form and follow the instructions, including providing all mandatory information. Incomplete entries, failure to follow the instructions, procedures and/or these Official Rules shall render the entry invalid.

   There is a limit of one (1) entry per person during the Sweepstakes Period. If multiple entries are received from any one person, only the first entry per person will be considered and subsequent entries will be disqualified. All entries must be actually received by Sunday, August 31, 2008, at 11:59 p.m. (Central Time), regardless of date or time stamps.

2. ELIGIBILITY: Only legal residents of Texas who are 18 years of age or older as of August 31, 2007 are eligible to enter the Sweepstakes and win a prize. Employees, officers, directors (and their immediate family members and members of their same households) and agents and representatives of (i) Valley View Center, Macerich Valley View Limited Partnership (collectively, “Sponsor”), The Macerich Company or The Macerich Partnership, L.P. or (ii) any of their respective parents, affiliates and subsidiary companies (collectively, “Macerich”) and employees, officers, directors, agents and representatives of (i) the merchants of Valley View Center or (ii) any advertising or promotion agencies that do business with Macerich are not eligible to win.

3. PRIZES/ODDS OF WINNING: Twelve (12) prizes each consisting of one (1) $100 One Great Gift Card® will be awarded. One Great Gift Cards (the “Visa Gift Cards”) are valid through the expiration date shown on the front of the Visa® Gift Card or until the value of the Visa Gift Card reaches zero, except where prohibited or modified by applicable law. Terms and conditions, including fees, may apply to Visa Gift Cards and are available at Guest Services, online at www.OneGreatGiftCard.com, and in materials which accompany each Visa Gift Card. Visa Gift Card is issued by U.S. Bank®. Each winner will receive a copy of the terms and conditions for his or her Visa Gift Card. There are no cash equivalents for prizes. Prizes are nontransferable. Prizes awarded are subject to the restrictions and limitations noted in these Official Rules, on the prizes and/or included with the prizes and each winner must abide by all such limitations and restrictions. Each winner agrees to accept his or her prize “as is.” There is a limit of one (1) prize per person in this Sweepstakes. There is a limit of one (1) prize per person for any sweepstakes or contest conducted by Sponsor during 2007, and there is a limit of one (1) prize per person for any sweepstakes or contest conducted by Sponsor during 2008. Odds of winning a prize depend on the number of eligible entries received at the time of the applicable drawing.

4. DRAWINGS AND NOTIFICATION: One (1) winner of a Visa Gift Card will be selected in each of twelve (12) random drawings to be held on the following dates: on or about October 1, 2007; on or about November 1, 2007; on or about December 3, 2007; on or about January 2, 2008; on or about February 1, 2008; on or about March 3, 2008; on or about April 1, 2008; on or about May 1, 2008; on or about June 2, 2008; on or about July 1, 2008; on or about August 1, 2008; and on or about September 1, 2008 from all eligible and qualified entries received in accordance with these Official Rules at the time of the applicable drawing. Winners will be notified by phone, e-mail or U.S. mail. If a winner cannot be reached after a reasonable effort has been exerted, or if he/she is found to be ineligible, or if he/she cannot or does not comply with these Official Rules, the winner may be disqualified and an alternate winner may be selected.

5. GENERAL CONDITIONS: Each winner is solely responsible for all taxes as it relates to his or her respective prize, including applicable sales and income taxes. Each winner will be required to provide valid photo identification (i.e., U.S. driver’s license, passport) or the winner may be disqualified and an alternate winner may be selected. To the extent applicable, return of prize notification as undeliverable will result in disqualification. Once submitted, entries become the property of Sponsor and will not be returned. If a winner requests his or her prize be delivered, the winner must provide in writing an address where an authorized person can sign for the prize. Each winner may pick up his or her prize at the Management Office located in Valley View Center, 13331 Preston Road, Suite 2040, Dallas, Texas 75240, Monday through Friday 8:30 a.m. – 5:30 p.m.
   
   Except where prohibited by law, by accepting the prize each winner grants Sponsor, Macerich and their respective partners, designees, licensees, parents, subsidiaries, affiliates, assigns, related companies and successors, and all of their respective officers, directors, employees, representatives, attorneys and agents (collectively, the “Sponsor Entities”) the universal and perpetual right and license to use, exploit, print, publish, reproduce, display, distribute and broadcast, and to grant others the right and license to use, exploit, print, publish, reproduce, display, distribute and broadcast, the winner’s name, actual or simulated likeness, photograph, image, voice, portrait, picture, personal characteristics, biographical information and other personal identification in any and all languages, formats, and media now known and hereafter developed, in connection with the Web Site, Sweepstakes and/or any Sweepstakes-related activity and any and all advertising, promotion, marketing, and/or publicity thereof, including all ancillary and subsidiary rights therein, without additional consideration.
   
   Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or, as applicable, the operation of the Web Site, or who is otherwise in violation of these Official Rules. Such a person will be prosecuted to the fullest extent of the law. Sponsor further reserves the right to cancel, terminate, suspend or modify any sweepstakes, contest, game or drawing not capable of completion as planned, including because of infection by computer virus, bugs, tampering, unauthorized intervention or technical or other failures of any sort, or any other causes beyond the control of Sponsor.

6. OFFICIAL RULES: This Sweepstakes is subject to these Official Rules which will be available on the Web Site during the Sweepstakes Period. By entering the Sweepstakes, entrants agree to waive any right to claim any ambiguity or error in the Official Rules of the Sweepstakes, or the Sweepstakes itself, and agree to be bound by these Official Rules and by all decisions of the Sponsor, whose decision is binding and final in all respects.

7. DISCLAIMERS: Sponsor Entities are not responsible for lost, late, damaged, incomplete, stolen, illegible, misdirected, deleted, destroyed or altered entries; or for any mail, computer, telephone, cable, network, electronic or Internet hardware or software malfunctions, failures, errors, interruptions, deletions, defects, delays, connections, availability or garbled or jumbled transmissions, service provider/Internet/Web Site/use net accessibility or availability, traffic congestion, or unauthorized human intervention or access to the Web Site, as applicable. Proof of entering information at the Web Site or of deposit into U.S. mail, as applicable, is not considered proof of delivery or receipt. The Sponsor Entities are not responsible for any incorrect or inaccurate information.

   By participating, entrants on behalf of themselves and their heirs, executors, administrators, successors and assigns hereby knowingly and voluntarily release, discharge, waive and relinquish, and agree that they will not assert or maintain against the Sponsor Entities and those involved in the development, production (including prize suppliers, contractors, service providers), implementation and distribution of this Sweepstakes, all participating merchants and their designated agents and any other person or entity associated with such entities and/or this Sweepstakes, and any of their respective officers, directors, employees, representatives, attorneys, or agents (collectively, “Sponsors’ Companies”), any claim, action, suit or demand of any kind or nature whatsoever, whether known or unknown now or in the future, directly or indirectly, in whole or in part, arising out of or in connection with their participation in this Sweepstakes or any Sweepstakes-related activity, or their acceptance, possession, use or misuse of any prize in any way (including any tax liabilities). Entrants hereby further agree that Sponsors’ Companies are not responsible or liable for, and that entrants will indemnify, defend, release, and hold Sponsors’ Companies harmless from and against, any and all claims, liabilities, losses, damages, injuries, costs and expenses (including, without limitation, reasonable attorney’s fees) of any nature whatsoever whether known or unknown now or in the future, directly or indirectly, in whole or in part, arising out of or in connection with their participation in this Sweepstakes or any Sweepstakes-related activity, or their acceptance, possession, use or misuse of any prize in any way (including any tax liabilities). Entrants hereby acknowledge that they may hereafter discover facts different from or in addition to those which they now know or believe to be true and agree that this release will remain effective notwithstanding.

   If by reason of any error, more prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised prizes. No more than the advertised number of prizes will be awarded.

8. WINNERS LIST/RULES: A list of winners may be obtained after October 1, 2008 by sending a self-addressed, stamped envelope to be received by December 15, 2008 to: “Enter for a Chance to Win a $100 Gift Card” Winners, Valley View Center, 13331 Preston Road, Suite 2040, Dallas, Texas 75240.

9. GOVERNING LAW: Except to the extent pre-empted by federal or other applicable state law, this Sweepstakes shall be governed by the laws of the State of California (without giving effect to any conflict of law provisions thereof). By participating in this Sweepstakes, entrants agree that any and all disputes which cannot be resolved between entrant and Sponsor, and causes of action arising out of or connected with this promotion, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the City of Los Angeles, California having competent jurisdiction, which Court shall apply the laws of the State of California without giving effect to any conflict of law provisions thereof.
